I)   ALL INCLUSIVE professional service for only 5600, - CZK 

• It covers a complete service provided, including the settlement of company´ s issues (mandatory holding of General Meetings or carrying out other changes in the company – e.g. change of registered office), whereas an entire change process does not need the client´ s participation at all, except from signing the necessary documents
• This Service is advisable especially for those who do not want to deal with any paperwork related to a change in companies but prefer to entrust the entire administration into our hands in order to follow only their businesses in full

 

II)   Professional service ASSISTANCE for only 3750, - CZK 

• This service requires a greater participation of the client, who, when dealing with its affairs (holding the mandatory General Meeting or implementation of changes in the company) performs certain administrative actions based on our instructions and our detailed guidance
• The client must ensure notary acts and personally visit the local Trades Licensing Office or Tax Collector´ s Office in order of reporting changes made
• This service is suitable for clients who want to carry out a change in the company at minimum expense, even at the cost of spending some time (usually several hours) in dealing with the authorities

Types of sanctions:

** Limited Liability Company (LLC) - § 128, paragraph 1 of Act No. 513/1991 Coll., Commercial Code: Unless otherwise provided by law, Articles of Association, or provide for a shorter period, Directors shall convene a General Meeting at least once a year. The General Meeting, which approves the annual financial statements, must be held within six months from the last day of the accounting period.

** Joint Stock Company (JSC) - § 184, paragraph 3 of Act No. 513/1991 Coll., Commercial Code: General Meeting is held at least once a year within the time period provided by law, no later than six months after the last day of the reporting period.

**Whoever threatens anyone else or restrict anyone´ s rights by non-complying the condition of filing, without any delay, a proposal for registration of statutory data in the Companies Register and / or filing a respective record into the collection of documents as provided by law, may be punished by imprisonment of six months to three years or prohibition of activity or a fine under the provisions of § 125, Article 2 of the Criminal Code and as per the provisions of § 125, Article 3of Criminal Code, whoever causes a considerable damage to a foreign property or other particularly serious consequence, may be punished by imprisonment of one to five years.

**Furthermore, under the provisions of § 200de of Civil Procedure Code, the court may impose a disciplinary fine on a businessman even in the case if such an entrepreneur did not obey a court´ s call appeal for notifying the facts or presentation of documents required for a decision as per § 200 B, Article 1, second sentence, or presentation of documents, which under special laws belong to the collection of documents. In that case there are analogical proceedings as per § 53 with imposition of a disciplinary fine to 20 000, - CZK.
